This End-User License Agreement ("Agreement") is between you and JC Audio, an independent software developer based in Taiwan ("we", "us"). It applies to every paid JC Audio plugin, including its free-trial mode (the "Software"). By installing, activating or using the Software, you agree to it. If you do not agree, do not install or use the Software.
1. Who sells it and who licenses it
Our online store is run by Lemon Squeezy, which acts as our reseller and Merchant of Record: Lemon Squeezy is the seller on your receipt, takes your payment, handles sales tax / VAT and processes refunds, under its own Buyer Terms. The Software itself is licensed to you by JC Audio under this Agreement.
2. License grant
When you buy a license, we grant you a personal, non-exclusive, worldwide, perpetual (subject to Section 11) license to install and use the Software. You may use it in your own music, worship, live and production work, commercial or non-commercial, with no additional royalty or fee.
3. Activations — up to 2 computers
- One license key can be activated on up to 2 computers at the same time that you personally own or control (for example a studio Mac and a laptop).
- Need to move to a new computer? Deactivate the old one (where the plugin offers this), or email us with your order number and we will reset your activations.
- A company, church or school that wants to use the Software on more computers, or by several people, needs one license per user or per pair of computers.
4. Free trial
Without a license, the Software runs as a 14-day free trial with full functionality, counted from the first time it runs on your computer. When the trial ends, the Software stops processing audio and passes the unprocessed signal through, until you activate a license. The trial is tracked on your computer; reinstalling does not restart it, and attempting to circumvent or reset it is not permitted.
5. License keys & online verification
After purchase, Lemon Squeezy emails you a license key. Activating the key requires an internet connection: the Software sends the key and a device label to Lemon Squeezy's license server to verify it. After that, the Software works offline; when a connection is available it re-checks the license at most once a day. If a license is refunded, charged back or disabled, the Software returns to the expired-trial state at its next successful check. Keep your key confidential; we may disable keys that are shared publicly or used in breach of this Agreement. See our Privacy Policy for exactly what is sent.
6. Transfer
Your license is personal. You may transfer it to another person once, with our consent (which we will not unreasonably refuse): email us with your order number and the new owner's email. After the transfer you must remove the Software from your computers. Licenses bought at a discount for a specific group (e.g. education) may not be transferable.
7. Updates
Updates within the same major version (for example 1.0 to 1.x) are free. We may offer future major versions as paid upgrades. We are not obliged to provide updates or support for any particular period.
8. Restrictions
- You may not resell, rent, sublicense, share, redistribute or repackage the Software or your license key, except as allowed in Section 6.
- You may not reverse-engineer, decompile or disassemble the Software, except to the extent the law expressly permits.
- You may not remove or alter any copyright, trademark or licensing notices.
- You may not circumvent, disable or tamper with the trial or license-verification mechanisms.
9. Ownership
The Software is licensed, not sold. We and our licensors retain all intellectual-property rights in the Software. The sound you create with it is yours. This Agreement grants you no rights other than those expressly set out above.
10. Refunds
Refunds follow our Refund Policy and are processed by Lemon Squeezy as Merchant of Record. Nothing in this Agreement limits any refund or withdrawal right you have under mandatory consumer law in your country.
11. Termination
This Agreement applies for as long as you use the Software. It ends automatically if you breach it, or if your license is refunded or charged back; you must then stop using and remove the Software (the trial terms in Section 4 no longer apply). Sections 8, 9, 12, 13 and 15 survive termination.
12. No warranty
We test the Software carefully, but it is provided "as is" and "as available", without warranty of any kind, express or implied, including fitness for a particular purpose and non-infringement, to the extent the law allows. Please use the free trial to confirm it works on your system before you buy.
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or for loss of data, revenue or projects, arising from your use of (or inability to use) the Software. Our total liability for any claim is limited to the amount you paid for the license. Nothing here limits liability that cannot be limited by law.
14. Trademarks & independence
Product, hardware and host names referenced in connection with the Software (such as Logic and GarageBand) are trademarks of their respective owners. JC Audio is independent and is not affiliated with, endorsed by, or sponsored by any of them. JC Audio model and effect names describe the character of the sound and do not imply any association with other products.
15. Governing law
This Agreement is governed by the laws of Taiwan (R.O.C.), without regard to conflict-of-laws rules. Mandatory consumer-protection rights in your country of residence are unaffected.
16. Changes
We may update this Agreement for future purchases or versions. The version in force when you bought your license continues to apply to that license unless you agree to a new one.
